1. GENERAL
1.1. The SpotGo System is operated, and the SpotGo Services are provided by SpotGo, UAB, a limited liability company registered and acting under the laws of the Republic of Lithuania, company number 306377370, with its registered domicile at Mokyklos str. 86-60, 08414 Vilnius, Lithuania (the Service Provider).
1.2. These General Terms and Conditions (the Terms) constitute an agreement between the Service Provider and the recipient of the SpotGo Services (the Customer) under which the Service Provider will enable the Customer to use the SpotGo System and the SpotGo Services.
1.3. The SpotGo Services are exclusively B2B services. A legal or a natural entity (the Customer) has the right to use the SpotGo System only if the Customer is acting within the scope of an economic (business) activity, is able to enter into a binding agreement with the Service Provider, in accordance with applicable law, and only if it complies with these Terms, the Privacy Policy, and applicable law.
1.2. These General Terms and Conditions (the Terms) constitute an agreement between the Service Provider and the recipient of the SpotGo Services (the Customer) under which the Service Provider will enable the Customer to use the SpotGo System and the SpotGo Services.
1.3. The SpotGo Services are exclusively B2B services. A legal or a natural entity (the Customer) has the right to use the SpotGo System only if the Customer is acting within the scope of an economic (business) activity, is able to enter into a binding agreement with the Service Provider, in accordance with applicable law, and only if it complies with these Terms, the Privacy Policy, and applicable law.
2. REGISTRATION AND ACCESS RIGHTS
2.1. In order to be able to use the SpotGo Services, the Customer must register for a SpotGo account (the Account), granting them access to the main features of the SpotGo System during a 7-day trial period. Following this trial period, the Customer has the opportunity to acquire full access to the SpotGo System by choosing the respective subscription. Access to the SpotGo System will be facilitated through a username (email) and password, or through a passwordless email authentication method.
2.2. The first registered user of the Customer will be the administrator of the Customer's Account (the Administrator).
2.3. The Administrator has the authority to invite or block other Customer employees or other representatives (the Administrator together with all the other users of the Account – the Users) from using the SpotGo System, as well as assign administrator roles to selected Users as needed.
2.4. Each User must be at least 18 years old and agree to these Terms and the Privacy Policy.
2.2. The first registered user of the Customer will be the administrator of the Customer's Account (the Administrator).
2.3. The Administrator has the authority to invite or block other Customer employees or other representatives (the Administrator together with all the other users of the Account – the Users) from using the SpotGo System, as well as assign administrator roles to selected Users as needed.
2.4. Each User must be at least 18 years old and agree to these Terms and the Privacy Policy.
3. ACCESS REFUSAL AND ACCOUNT SUSPENSION
3.1. The Service Provider reserves the right to refuse an Account when deemed necessary to protect the legitimate interests of the Service Provider or other users of the SpotGo System, including instances where the User supplies incomplete, false, or misleading information, when information indicates ongoing bankruptcy, composition, reorganization, or liquidation proceedings involving the Customer, or when the Customer's business operations are suspended or closed.
3.2. Account suspension entails the complete loss of access to the SpotGo System, resulting in the immediate termination of the agreement executed under these Terms. Account suspension may occur due to various reasons, including a delay in payment to the Service Provider exceeding 7 days, User's infringement upon the Service Provider's or other user’s rights, violation of the Terms, as well as the engagement in prohibited activities such as spamming.
3.2. Account suspension entails the complete loss of access to the SpotGo System, resulting in the immediate termination of the agreement executed under these Terms. Account suspension may occur due to various reasons, including a delay in payment to the Service Provider exceeding 7 days, User's infringement upon the Service Provider's or other user’s rights, violation of the Terms, as well as the engagement in prohibited activities such as spamming.
4. INFORMATION AND SECURITY
4.1. The Customer agrees to use the SpotGo System in a secure manner and to take all reasonable steps to prevent unauthorized access to the SpotGo System. The Customer is responsible for all activities that occur under its Account, and must ensure the security of its login data, passwords or other data that may be used to access the Account. However, if any User notices any unauthorized use of the Account, they must contact the Service Provider immediately.
4.2. The exclusive responsibility for entering and securely managing credentials necessary for third-party integrations lies with the Customer’s Administrator. Within the SpotGo System in the "Integration settings/Company setting" tab, the administrator has sole authorization to input crucial data such as API Keys, passwords, and logins for the integration of subscribed third-party solutions. It is their paramount duty to ensure the secure and accurate handling of these credentials.
4.3. The Service Provider reserves the right to take measures, including blocking Customer’s Account, if necessary, to safeguard the security and interests of the Service Provider, other users and partners. The Service Provider may suspend the Account if it suspects any unauthorised use of the Account or receives relevant instructions from public authorities or court.
4.4. When using the SpotGo System, the Users may be required to enter login credentials for third-party systems to publish freight. The Users are obligated to respect third-party agreements, using these credentials securely and responsibly. It is important to note that all entered data, including credentials, will be encrypted for security. The Service Provider does not have access to these credentials and is not able to ensure their confidentiality. Failure to adhere to these practices may result in consequences outlined in third-party agreements, such as access restrictions.
4.5. The Customer is required to promptly notify the Service Provider of any security issues or concerns that may arise. This proactive communication helps to ensure the swift resolution of any security-related issues and contributes to the overall safety and integrity of the SpotGo Services.

5. DATA
5.1. According to the provisions of Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC (General Data Protection Regulation, GDPR), the Service Provider is the data controller of the Users’ personal data needed for creating and managing the Account and providing the SpotGo Services to the Customer. The processing of personal data by the Service Provider is described in the Privacy Policy.
5.2. The Customer shall be the controller of any personal data contained in the orders or other documents uploaded or otherwise made available by any User to the SpotGo System. The Service Provider will be the processor of such personal data and will process such data in accordance with the Data Processing Agreement (DPA) or a separate written DPA to be executed between the Service Provider and the Customer (if applicable).
5.3. The Customer agrees that any data entered by the Users and/or contained in the orders or other documents uploaded or otherwise made available by the Users to the SpotGo System may be used by the Service Provider to enhance the Customer’s experience in the SpotGo System’s performance, its quality, recognition accuracy, and processing speed, including analysis and incorporation of such data into the training of machine learning models and algorithms in order to train, refine, and improve the SpotGo System. Any such use of data shall be in accordance with applicable data protection laws.
5.2. The Customer shall be the controller of any personal data contained in the orders or other documents uploaded or otherwise made available by any User to the SpotGo System. The Service Provider will be the processor of such personal data and will process such data in accordance with the Data Processing Agreement (DPA) or a separate written DPA to be executed between the Service Provider and the Customer (if applicable).
5.3. The Customer agrees that any data entered by the Users and/or contained in the orders or other documents uploaded or otherwise made available by the Users to the SpotGo System may be used by the Service Provider to enhance the Customer’s experience in the SpotGo System’s performance, its quality, recognition accuracy, and processing speed, including analysis and incorporation of such data into the training of machine learning models and algorithms in order to train, refine, and improve the SpotGo System. Any such use of data shall be in accordance with applicable data protection laws.
6. LIABILITY
6.1. The Service Provider is committed to ensuring that the operation of basic functionalities within the SpotGo System maintains an annual availability level of 90%. In the event of failures, characterized as the complete unavailability of the SpotGo System, with no access to its core functionalities, the Service Provider pledges to resolve them within a maximum timeframe of 24 hours, excluding statutory holidays, Saturdays, and Sundays. Additionally, any access restrictions to the SpotGo System (except for Account suspensions by the Service Provider) will not extend beyond 72 hours.
6.2. The Service Provider disclaims responsibility for failures arising from factors beyond its control and liability for the User’s or third-party’s actions in violation of the Terms. The SpotGo System is provided by the Service Provider without any warranty of any kind, whether express or implied, except for what is directly stated in the Terms or in a written agreement between the Service Provider and the Customer.
6.3. The Service Provider reserves the right to intervene in the technical structure of the Account for diagnosing software malfunctions and making modifications or corrections to ensure its proper functioning.
6.4. The Service Provider is not responsible for the information entered by Users. The role of the Service Provider is to facilitate the exchange of data and ensure the functionality of the SpotGo System. The accuracy, legality, and appropriateness of the data entered remain the sole responsibility of the Users / Customers themselves. The Service Provider encourages the Users to use the SpotGo Services responsibly and adhere to all relevant laws and regulations when sharing information through the SpotGo System.
6.5. If any User uses the SpotGo System in violation of these Terms and/or any applicable laws, as determined in the sole and absolute discretion of the Service Provider, the Customer agrees to indemnify and hold harmless the Service Provider and its officers, directors, employees and agents, from and against any claims, suits, proceedings, disputes, demands, liabilities, damages, losses, costs and expenses, including, without limitation, reasonable legal and accounting fees (including costs of defence of claims, suits or proceedings brought by third parties).
6.2. The Service Provider disclaims responsibility for failures arising from factors beyond its control and liability for the User’s or third-party’s actions in violation of the Terms. The SpotGo System is provided by the Service Provider without any warranty of any kind, whether express or implied, except for what is directly stated in the Terms or in a written agreement between the Service Provider and the Customer.
6.3. The Service Provider reserves the right to intervene in the technical structure of the Account for diagnosing software malfunctions and making modifications or corrections to ensure its proper functioning.
6.4. The Service Provider is not responsible for the information entered by Users. The role of the Service Provider is to facilitate the exchange of data and ensure the functionality of the SpotGo System. The accuracy, legality, and appropriateness of the data entered remain the sole responsibility of the Users / Customers themselves. The Service Provider encourages the Users to use the SpotGo Services responsibly and adhere to all relevant laws and regulations when sharing information through the SpotGo System.
6.5. If any User uses the SpotGo System in violation of these Terms and/or any applicable laws, as determined in the sole and absolute discretion of the Service Provider, the Customer agrees to indemnify and hold harmless the Service Provider and its officers, directors, employees and agents, from and against any claims, suits, proceedings, disputes, demands, liabilities, damages, losses, costs and expenses, including, without limitation, reasonable legal and accounting fees (including costs of defence of claims, suits or proceedings brought by third parties).
7. PRICE AND PAYMENTS
7.1. The prices for accessing the SpotGo System will be specified on the Service Provider's website. The Service Provider reserves the right to change the price by sending notifications via email to the Customer's Administrator regarding the planned price change along with the new Price List. The new prices cannot take effect in the upcoming settlement period if the notification is sent less than 30 days prior to the next payment date.
7.2. The price may also be specified in an individual contract or agreement and takes precedence over the price on the website.
7.3. Charges, as per the Price List, are calculated in Billing Periods. Within the scope of service provision, the following Billing Periods are defined: SUBSCRIPTION - MONTHLY or ANNUAL - denoting a monthly (calendar month) or annual billing cycle. In the case of selecting an annual billing period and failure to pay the invoice within the specified timeframe, the order automatically converts to a monthly billing cycle (without the possibility of availing any discount).
7.4. Upon suspension of the Account or other termination of the agreement due to a breach of the Terms or applicable laws by the Customer, or for any other reason initiated by the Customer, the amount paid for the unused subscription is non-refundable.

8. INTELLECTUAL PROPERTY
8.1. All the trademarks, logos, the domain name used in the SpotGo System or when providing the SpotGo Services, the SpotGo System itself, the APIs, and the website through which the Users access the SpotGo System, as well as all individual elements thereof, including software, databases, texts, photos, videos, drawings and any material on the SpotGo System, the API, and website, any page of the website, graphics and design, and all intellectual property rights in them, will remain with and exclusively belong to the Service Provider and/or other persons. The User agrees not to copy, alter, or use otherwise any of the above without the separate written consent of the Service Provider and/or another rightsholder and not to share the API keys with other parties.
8.2. The User agrees not to make any attempts to inspect or verify the vulnerability of any system or network used to provide the SpotGo Services, not to compromise any security or authentication measures, or attempt to decrypt, reverse engineer, disassemble or modify the software or databases used for the operation of the SpotGo Services.
8.3. The User may not use the SpotGo System and/or the SpotGo Services in a manner that could compromise the proper operation, security, integrity of the SpotGo System and/or the SpotGo Services, or related software, or limit the ability of others to use any of the above.8.4. Unless otherwise provided in a separate written agreement, the Service Provider has the right to indicate (including publicly) that the Customer is (has been) the customer of the Service Provider and uses (or has used) the SpotGo System, as well as to use the Customer’s trade names and trademarks, for the Service Provider’s promotional and marketing purposes, and the Customer provides consent for such usage.
8.2. The User agrees not to make any attempts to inspect or verify the vulnerability of any system or network used to provide the SpotGo Services, not to compromise any security or authentication measures, or attempt to decrypt, reverse engineer, disassemble or modify the software or databases used for the operation of the SpotGo Services.
8.3. The User may not use the SpotGo System and/or the SpotGo Services in a manner that could compromise the proper operation, security, integrity of the SpotGo System and/or the SpotGo Services, or related software, or limit the ability of others to use any of the above.8.4. Unless otherwise provided in a separate written agreement, the Service Provider has the right to indicate (including publicly) that the Customer is (has been) the customer of the Service Provider and uses (or has used) the SpotGo System, as well as to use the Customer’s trade names and trademarks, for the Service Provider’s promotional and marketing purposes, and the Customer provides consent for such usage.
9. TERMINATION
9.1. The Customer or the Service Provider may terminate the agreement executed through these Terms, without providing justification, with one month's notice effective at the conclusion of the Subscription Settlement Period. In the case of annual Settlement Periods, if notice is given less than 30 days before the end of the Settlement Period, it will be considered that the next Settlement Period is one month, and the Agreement shall terminate at its conclusion.
9.2. Termination may also occur for non-payment within the period specified on the invoice.
9.3. Termination may be initiated to safeguard the interests and security of the Service Provider or the SpotGo System users.9.4. The Service Provider may discontinue (terminate) or suspend the operation of the SpotGo System at any time.

10. MISCELLANEOUS
10.1. The Service Provider may change these Terms from time to time. The latest (current) version of the Terms can always be found on the SpotGo System website. The Customer with an Account will be notified of the amended Terms and may continue to use the SpotGo System after accepting the amended Terms. If the Customer does not agree to the amended Terms, the Customer should stop using the SpotGo System.
10.2. In case of any discrepancies between these Terms and a written agreement executed by the Service Provider and the Customer, the latter shall prevail.
10.3. These Terms shall be governed by the Lithuanian law. Any disputes, disagreements or claims arising out of or relating to these Terms, or regarding the breach, termination or validity thereof will be settled in Lithuanian courts in accordance with Lithuanian laws.
10.2. In case of any discrepancies between these Terms and a written agreement executed by the Service Provider and the Customer, the latter shall prevail.
10.3. These Terms shall be governed by the Lithuanian law. Any disputes, disagreements or claims arising out of or relating to these Terms, or regarding the breach, termination or validity thereof will be settled in Lithuanian courts in accordance with Lithuanian laws.
